NWVT

From business modelto financial close.

Legal rigour. Financial architecture.

An independent advisory and structuring firm for sponsors, developers and capital providers. We conceive, structure and execute the transactions behind real assets — the business model, the participants, the payment and repayment mechanics, and the capital structure that funds them. Mexico and Latin America.

Five jurisdictionsMexico, Costa Rica, the United States, Argentina and Chile.

Taken together, the engagements described on this website represent US$8bn of aggregate transaction and asset value: US$500M announced and executed, US$5bn of transactions currently under mandate measured at expected completion, and US$2.5bn of total asset value for a development in execution. That aggregate combines transaction values and asset values prepared on different bases; it is not a measure of capital arranged, placed or funded by NWVT, nor of fees earned. US$500M refers to the announced value of the charging-infrastructure investment programme publicly reported in March 2026, on which NWVT acted as structuring and documentation adviser. Transactions under mandate refers to the aggregate value, measured at expected completion, of transactions on which NWVT is currently engaged; those transactions have not reached financial close, and the figure does not represent amounts arranged, placed or funded by NWVT, nor fees earned. It is stated conservatively and is subject to change. The two figures cover different transactions and do not overlap: the announced programme is not included in the transactions-under-mandate figure. Counterparties and figures for undisclosed transactions are available under NDA and subject to counterparty consent.

The Firm

Advisers first. Structurers throughout.

NWVT is an independent advisory and structuring firm covering infrastructure, energy transition, real estate and hospitality. We are engaged to conceive a business, make it bankable, and see it through execution — as originator, structurer and capital arranger. We do the work of an investment bank without its balance sheet: we originate, structure and arrange, but we do not lend, invest our own capital, or take positions in the transactions we advise on. That is what lets us hold one economic role per transaction and sit on the client’s side of the table with no second interest to defend.

The firm is led by qualified lawyers, and that is the point. Most advisory mandates treat the legal work as something that happens after the commercial terms are agreed. We run it the other way, because the enforceability of a transaction and its bankability are the same question asked twice.

About the firm

What We Do

A single counterparty, from concept to close.

One firm across the life of a transaction — commercial, legal, financial and structuring — working with sponsors, developers, operators, integrators, suppliers and capital providers. Developers here means developers of projects and of businesses, not only of real estate.

  • 01

    Strategy & Commercial Design

The business model and its revenue sources. Identifying and assembling the participants — operators, integrators, suppliers and offtakers — and the commercial agreements that bind them.

  • 02

    Structuring & Capital

Legal and financial architecture: vehicle and security design, risk allocation, collection mechanics and sources of repayment, and the arranging of debt and equity from the institutional pools whose mandate the asset fits.

  • 03

    Delivery Support & Asset Performance

Making projects viable and keeping them that way: support through infrastructure, execution and operation, and advisory on how the asset earns. Advisory only — NWVT does not perform engineering, construction or operation.

The NWVT Difference

Four reasons clients give us the mandate.

  • 01

    Lawyer-led structuring

The firm is led by qualified lawyers. Structuring, documentation and negotiation depth sit in-house, complemented by a network of leading local and international law firms — so the commercial answer and the enforceable answer are built at the same time.

  • 02

    Arranger, not intermediary

We are engaged to own the structure. On our reference US$500M charging-infrastructure investment programme, NWVT was the structuring and documentation adviser — not a broker in the chain.

  • 03

    Institutional reach, boutique focus

Direct access to infrastructure funds, private credit, DFIs and strategic capital, delivered with senior attention on a deliberately small book of mandates.

  • 04

    Aligned economics

A deliberately small book of mandates and a low-overhead firm. We engage as principals in the outcome, and terms are agreed privately with each client to suit the transaction.
