The Firm

An independent advisory firm, with a law firm’s rigour.

NWVT is an independent advisory and structuring firm covering infrastructure, energy transition, real estate and hospitality — engaged as originator, structurer and capital arranger on institutional-scale transactions across Mexico and Latin America.

Why lawyer-led

Enforceability and bankability are the same question.

The firm is led by qualified lawyers, and that is the point. Most advisory mandates treat the legal work as something that happens after the commercial terms are agreed — the structure is negotiated, then handed to counsel to paper. We run it the other way. The structure, the documentation and the financing are designed together, because a transaction that cannot be enforced is not a transaction a credit committee will fund.

Our work begins at origination — before a transaction has a structure, a capital plan or a document set — and ends at financial close, with the structure we designed intact and the client’s economics protected.

Between those two points sits the work that decides whether institutional capital actually funds a transaction: building the commercial architecture, testing it against how a credit committee will read it, and taking it to the specific pools of capital whose mandate it fits.

How We Create Value

The mandate, and how we run it.

Our Mandate

  • Source institutional-scale opportunities from proprietary relationships and inbound flow.
  • Structure bankable, defensible transactions that withstand CFO- and credit-committee scrutiny.
  • Arrange and syndicate debt and equity from the right institutional pools.
  • Protect the client’s economics and position through to financial close.

Our Operating Model

  • Boutique and selective. Few mandates, senior-led, deep engagement.
  • Low overhead. Flexibility to act as the client’s outsourced structuring team.
  • Senior-led throughout. The partners who win the mandate are the partners who run it.
  • Pragmatic structures designed for the market as it is, not as a model assumes it to be.

Operating Thesis

Boutique by design; institutional in execution.

A handful of mandates, each treated as principal. We own the structure rather than passing a transaction along a chain, and we stay on it through to financial close.
